Terms and Conditions

1. General
These Terms and Conditions apply to all services provided by Windspeed10, registered in Wervershoof, The Netherlands. By engaging with Windspeed10, you agree to these Terms and Conditions unless otherwise agreed in writing.

2. Services
Windspeed10 provides interim business development, innovation project management, and technical project management services. The scope, deliverables, and timelines of each assignment are defined in a written proposal or agreement.

3. Agreements and Proposals
All proposals issued by Windspeed10 are non-binding until confirmed in writing by both parties. Agreements are valid only for the services and period specified.

4. Client Responsibilities
The client ensures that all information, decisions, and resources required for the execution of the assignment are provided in a timely and accurate manner. Windspeed10 is not liable for delays or issues resulting from incomplete or incorrect information.

5. Fees and Payment
Unless stated otherwise, all fees are exclusive of VAT and other applicable taxes. Invoices must be paid within 14 days of the invoice date. In case of late payment, statutory commercial interest may be charged.

6. Confidentiality
Both parties shall treat all confidential information exchanged during the assignment with strict confidentiality. This obligation continues after the termination of the agreement.

7. Intellectual Property
All materials, analyses, reports, and deliverables created by Windspeed10 remain the intellectual property of Windspeed10 unless explicitly transferred in writing. The client receives a non-exclusive right to use the deliverables for internal purposes.

8. Liability
Windspeed10 performs all services to the best of its ability and according to professional standards. Windspeed10 is not liable for indirect or consequential damages. Any direct liability is limited to the amount invoiced for the relevant part of the assignment.

9. Termination
Both parties may terminate the agreement in writing with a notice period of 30 days, unless otherwise agreed. Services already performed will be invoiced proportionally.

10. Force Majeure
Windspeed10 is not liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to illness, technical failures, or external disruptions.

11. Applicable Law
These Terms and Conditions are governed by Dutch law. Any disputes will be submitted to the competent court in The Netherlands.
